These Terms of Use ("Terms") govern your access to and use of the website at https://tradercap.in, the TraderCap web application, trading terminal, dashboards and related services (together, the "Platform") operated by TraderCap Technologies Private Limited, a company incorporated under the Companies Act, 2013 with CIN TODO-CIN and registered office at TODO: Registered office address, City, State, PIN ("TraderCap", "we", "us"). By creating an account or purchasing any service you agree to these Terms. This document is an electronic record under the Information Technology Act, 2000.

1. Nature of the service

TraderCap provides software that lets users trade in a simulated environment priced from market reference data, together with rule-based evaluation, analytics and journaling tools. No real securities, derivatives or commodities are bought or sold on your behalf. TraderCap is not a stock broker, sub-broker, investment adviser, research analyst, portfolio manager or any other SEBI-registered intermediary, and does not accept deposits, investments or funds for trading.

2. Eligibility

  • You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872.
  • To receive performance rewards you must hold a valid PAN and an Indian bank account in your own name, and complete KYC.
  • Accounts are personal. Corporate entities, and residents of jurisdictions where the service is restricted, are not eligible.

3. Accounts and security

You must provide accurate information and keep your credentials confidential. You are responsible for all activity on your account. We may use device, IP and behavioural signals to prevent fraud and enforce these Terms.

4. Evaluations

Each evaluation program has published parameters (profit targets, loss limits, minimum trading days and other rules) shown on the Platform at the time of purchase. Those parameters form part of these Terms for that account. Breaching a hard rule ends the account automatically. Passing an evaluation makes you eligible, subject to review and KYC, to enter into the Funded Trader Agreement.

5. Funded Trader Agreement and rewards

Funded participation is governed by a separate Funded Trader Agreement under which you act as an independent contractor. Performance rewards are calculated from simulated results in accordance with that agreement, are subject to applicable TDS, and are not wages, returns on investment or guaranteed income.

6. Fees and payments

Fees are for access to software and evaluation services, are charged in INR inclusive of GST, and are governed by our Refund Policy. Fees are not deposits, margin or trading capital.

7. Prohibited conduct

You agree not to engage in any practice listed in our Prohibited Practices Policy, or otherwise misuse, reverse engineer or disrupt the Platform.

8. Market data and simulation

Prices, fills, costs and margins are modelled and may differ from real exchange execution. Data may be delayed, interrupted or inaccurate. We may correct results affected by data errors or system faults.

9. Intellectual property

All Platform software, content and trademarks belong to TraderCap Technologies Private Limited or its licensors. You receive a limited, non-transferable licence for personal use.

10. Disclaimers and limitation of liability

The Platform is provided "as is". To the extent permitted by law, our total liability for any claim is limited to the fees you paid for the relevant service in the three months before the claim. We are not liable for indirect or consequential loss, or for trading decisions you make in real markets.

11. Suspension and termination

We may suspend or terminate accounts for breach of these Terms, suspected fraud, or legal requirements. This does not limit any chargeback or refund rights you have under applicable law or payment network rules.

12. Changes

We may update these Terms. Material changes will be notified by email or in-app. Program parameters for an already-purchased account will not be changed to your detriment except where required by law or for security.

13. Governing law and disputes

These Terms are governed by the laws of India. Disputes will first be addressed through our grievance process and, failing resolution, by arbitration under the Arbitration and Conciliation Act, 1996, seated in TODO: City, India, with courts there having exclusive jurisdiction.
